Terms of Use

These Terms of Use govern your use of www.ppa-mc.com and the pages and features on it (the "Site"), operated by Peoples Partners and Associates, LLC, a limited liability company organized in Maryland ("PP&A", "we", "us"). By using the Site you agree to them. If you do not agree, please do not use the Site.

If you are a member of the PP&A Talent Network, your membership is governed by the Talent Network Membership Terms, which control over these Terms of Use wherever the two differ. These Terms of Use cover the website itself.

Our Privacy Policy explains what personal information we collect through the Site and how we handle it.

PP&A is a consulting firm. The Site describes our services, publishes our research, case studies and articles, lets you contact us, and lets consultants apply to join our Talent Network.

The Site is not a marketplace. It does not process payments, hold funds, issue invoices on anyone's behalf, or broker transactions between third parties. Nothing on the Site is an offer of employment or of a contract, and nothing on it creates a client relationship with PP&A. A client relationship begins only with a signed engagement agreement.

Some parts of the Site require an account. You must be at least 18 years old to create one.

You agree to give accurate information when you register, to keep it current, and to keep your password confidential. You are responsible for what happens under your account. Tell us promptly if you believe someone else has used it.

We may suspend or close an account that was created with false information, that is used in breach of these Terms of Use, or where we are required to.

Use the Site lawfully. In particular, do not:

• interfere with the Site or the networks it runs on, including by probing, scanning, overloading or attempting to gain unauthorized access;
• scrape, harvest or bulk-download content or personal information from the Site;
• upload anything containing malware, or anything unlawful, defamatory, infringing or deliberately misleading;
• impersonate anyone, or misrepresent your affiliation with any person or organization;
• use the Site to send unsolicited commercial messages; or
• use automated means to create accounts or submit forms.

We may remove content and restrict access where we reasonably believe these rules have been broken.

The Site and its content, including text, graphics, logos, publications, case studies and the PP&A name and marks, belong to PP&A or to our licensors, and are protected by intellectual property law.

You may read, print and share our published research and case studies for your own informational or internal business use, provided you keep our attribution and do not alter them. Any other use, including republication, redistribution or use in a commercial product, needs our written permission.

Our publications are general commentary. They are not legal, financial, tax, investment or professional advice, they describe circumstances as at the date of writing, and you should not act on them without advice specific to your situation.

If you send us information through the Site, including contact enquiries, subscriptions and applications, you confirm you are entitled to send it and that it is accurate.

We do not want to receive your confidential information through the Site. Unless we have signed a confidentiality agreement with you, please do not send confidential or proprietary material through a contact form, and we will not treat material sent that way as confidential. Personal information you provide is handled under our Privacy Policy, and Talent Network material under the Talent Network Membership Terms.

The Site links to sites we do not control. We provide those links for convenience. We do not endorse those sites, and we are not responsible for their content, their accuracy or their privacy practices.

The Site is provided as it is and as available. We work to keep it accurate and running, but we do not warrant that it will be uninterrupted or error-free, that defects will be corrected, or that the content is complete or current.

To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

We may change, suspend or discontinue any part of the Site at any time.

To the fullest extent the law allows, PP&A is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of your use of the Site.

Our total liability arising out of your use of the Site is limited to one thousand dollars.

Nothing in these Terms of Use limits liability that cannot be limited under applicable law.

We may update these Terms of Use. The effective date above shows when the current version took effect, and continuing to use the Site after that date means you accept it. If a change materially affects account holders, we will give notice through the Site or by email.

These Terms of Use are governed by the laws of the State of Maryland, without regard to its conflict of laws rules. Any dispute arising out of them or out of your use of the Site will be brought in the state or federal courts located in Maryland, and you consent to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction.

If any provision is held unenforceable, the rest continues in force.
